Kinetry Acceptable Use Policy

This Acceptable Use Policy ("AUP") expands and forms part of §12 (Acceptable Use) of the Kinetry Terms of Service ("Terms") between Kalgren Consulting LLC, doing business as Kinetry ("Kinetry," "Company," "we," "us"), and Customer. Capitalized terms not defined here have the meanings given in the Terms. This AUP applies to Customer and to every Authorized User Customer permits to use the Service (including administrators, advisors, raters, and other participants). Customer is responsible for its Authorized Users' compliance. If this AUP and the Terms conflict, the Terms control.

The Service is a professional-development tool that scores workplace behaviors and generates coaching content; it is not a background-check, investigative, selection, or surveillance product, and it must not be used as one. Violation of this AUP is a material breach of the Terms.

1. Lawful and Respectful Use

Customer and its Authorized Users will not use the Service to:

  • violate any applicable law, regulation, or third-party right;
  • harass, threaten, defame, stalk, retaliate against, or discriminate against any individual, or to create or maintain a hostile or unlawful work environment;
  • assess, profile, or collect data about individuals who are not Authorized Users of Customer, or about anyone Customer lacks a lawful basis and the necessary notices or consents to assess (see Terms §4);
  • submit Customer Data that Customer does not have the right to submit, or that infringes, misappropriates, or violates the rights of any person; or
  • interfere with any other Customer's use of the Service or with the rights of any participant.

2. No Employment Decisions

Consistent with Terms §7, the Service is a development tool only. Customer and its Authorized Users will not:

  • use the Service, or any Score, Result, or AI-generated content, as an employee selection procedure under the Uniform Guidelines on Employee Selection Procedures or any similar standard;
  • use the Service as the sole or primary basis for hiring, firing, promotion, demotion, compensation, discipline, or any other employment decision; or
  • present or configure the Service to participants as an automated employment decision tool.

Customer is solely responsible for its employment decisions and for compliance with anti-discrimination, labor, employment, and automated-decision-tool laws.

3. Prohibited Data and Sensitive Categories

Customer and its Authorized Users will not upload, submit, or store through the Service:

  • protected health information, medical records, or other health-regulated data, unless separately agreed in writing with Kinetry;
  • data subject to sector-specific regulatory regimes (for example, HIPAA, GLBA, or PCI cardholder data) that the Service is not contracted to handle; or
  • special or sensitive categories of personal information, including financial account information, government identifiers, religious beliefs, political opinions, union membership or affiliation, health or disability information, genetic or biometric information, or information concerning sexual orientation or sexual activity.

Customer will instruct its participants not to submit the categories above and will not request that they do so. Payment card details are handled only through our payment provider's hosted checkout and must never be entered into any assessment, note, or free-text field.

4. Assessment Confidentiality; No Re-Identification

The Service applies statistical protections (including minimum-rater thresholds that suppress low-sample Results) designed to make individual raters' responses difficult to infer, as described in Terms §9. Customer and its Authorized Users will not:

  • attempt to identify, re-identify, or infer the individual responses another rater submitted;
  • attempt to re-identify any individual, Customer, or organization from Aggregated Data or other de-identified or aggregated outputs;
  • combine, correlate, or supplement Results or Aggregated Data with other information in order to defeat suppression, aggregation, or de-identification;
  • circumvent, disable, or work around minimum-rater suppression, aggregation thresholds, role- and tenant-scoped access controls, or any other confidentiality safeguard of the Service; or
  • access, or attempt to access, any workspace, Result, or record outside the access their assigned role permits.

Customer will inform its Authorized Users of the applicable assessment configuration (multi-rater or advisor mode) and its confidentiality characteristics.

5. Security, Integrity, and Intellectual Property

Kinetry and its licensors own the Service and its behavioral framework, scoring methodologies, weighting systems, thresholds, algorithms, models, software, and documentation, which are protected as trade secrets and other intellectual property (Terms §11). Customer and its Authorized Users will not:

  • probe, scan, or test the vulnerability of the Service or its infrastructure, or breach or circumvent any authentication, rate-limiting, or security measure;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the Service's scoring weights, formulas, thresholds, models, or other internals;
  • scrape, crawl, spider, bulk-export, or systematically extract Results, Customer Data, or other content, whether manually or by automated means, except through export features the Service provides;
  • use the Service, its outputs, or extracted content to build, train, or improve a competing product or model, or to benchmark the Service for a competitor;
  • introduce malware, or use the Service to transmit malicious code or to gain unauthorized access to any system, account, or data; or
  • remove, obscure, or alter any proprietary notice, or copy the Service's look and feel, framework structure, or report formats.

6. Accounts, Credentials, and Sign-In Links

Access is passwordless and tied to the named individual. Customer and its Authorized Users will not:

  • share, transfer, sell, or permit others to use their account, session, or role;
  • share, forward, or reuse emailed one-time sign-in links, or attempt to generate, guess, or replay session cookies or link tokens;
  • create accounts by automated means, or misrepresent identity, affiliation, or authority when signing up or being invited; or
  • retain access after their authorization ends. Customer must promptly remove Authorized Users who should no longer have access.

Customer is responsible for actions taken under its Authorized Users' accounts and for maintaining the confidentiality of access credentials and sign-in links (Terms §3).

7. Service Load and Infrastructure

Customer and its Authorized Users will not:

  • impose an unreasonable or disproportionately large load on the Service or its infrastructure, or interfere with its normal operation;
  • send automated or high-volume requests (including bots, scripts, or scrapers) except through interfaces Kinetry expressly provides for that purpose;
  • attempt to disrupt, degrade, or deny service to the Service or to other Customers, including through flooding, resource exhaustion, or abuse of email-sending features; or
  • use the Service to send unsolicited, deceptive, or bulk messaging outside its intended assessment and notification workflows.

8. Report Links and Public Badge Cards

The Service offers optional sharing features, including report-share links and public badge cards. When Customer or an Authorized User enables or distributes these, Customer is responsible for what is exposed. Customer and its Authorized Users will not:

  • use share links or badge cards to publish, expose, or make available individual Results, assessment responses, notes, or other Customer Data to anyone not authorized to receive them;
  • share a link in a manner that circumvents rater confidentiality, suppression, or a participant's expectations, or that publishes another individual's Results without that individual's authorization;
  • represent Aggregated or de-identified summaries as another Customer's or individual's underlying data; or
  • alter, forge, or misrepresent the content of a shared report or badge, or use these features to imply a certification, validation, or employment-related determination the Service does not provide.

Customer should treat share links as sensitive, distribute them only as needed, and disable them when sharing is no longer intended.

9. Reporting Violations

If Customer or any Authorized User becomes aware of a violation of this AUP, a security vulnerability, unauthorized access, or a suspected exposure of Results or Customer Data, they should report it promptly to legal@kinetry.ai. Reports concerning personal-data handling may also be directed to privacy@kinetry.ai. Customer will reasonably cooperate with Kinetry to investigate and remediate suspected violations.

10. Enforcement; Suspension and Termination

Kinetry may investigate suspected violations of this AUP and may take action to protect the Service, its Customers, and affected individuals. Depending on the severity, Kinetry may:

  • issue notice and require Customer to cure the violation;
  • throttle, restrict, or suspend the affected account, Authorized User, feature, or sharing link, with notice where practicable and immediately where necessary to prevent harm, protect security, or comply with law;
  • disable a report-share link or badge card that is exposing data improperly; and
  • terminate the account for material or repeated violations, as permitted by Terms §15.

Suspension or termination under this AUP does not limit Kinetry's other rights or remedies, and does not relieve Customer of its obligations under the Terms, including its indemnification obligations for use of the Service in violation of §4, §7, or §12.
